Terms of Service

By using this website or submitting an enquiry, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or the business you represent, and agree to comply with these Terms in full. If you do not agree, please do not use our website or services.

Elyrix Digital provides digital marketing services to businesses, including but not limited to:

• Web design and development
• Video editing and production
• AI-generated short-form video content
• Facebook and Instagram (Meta) advertising campaign management

The specific scope, deliverables, timelines, and fees for any engagement will be agreed in writing between the parties before work begins. These Terms apply to all such engagements unless a separate written agreement expressly supersedes them.

Submitting an enquiry form or contacting us does not create a binding contract. A contract for services is only formed when both parties have agreed in writing (email or signed proposal) on the scope of work and fees. We reserve the right to decline any enquiry at our sole discretion.

• Quoted fees — all fees are stated in Indian Rupees (INR) unless explicitly agreed otherwise.
• Payment schedule — typically 50% upfront and 50% on delivery, unless otherwise agreed in writing.
• Late payments — we reserve the right to pause or withhold delivery of work if invoices are not settled within 7 days of the due date.
• Ad spend — any advertising budget (e.g. Facebook Ads spend) is separate from our service fees and is paid directly by you to Meta.

You agree to:

• Provide accurate information, assets, and timely feedback required for us to perform the services.
• Ensure that any content, images, or materials you supply do not infringe third-party intellectual property rights.
• Obtain all necessary consents, permissions, and licences for content we are asked to use or promote on your behalf.
• Comply with Meta's advertising policies and any other platform terms relevant to your campaigns.

• Your materials — you retain all ownership rights to content, logos, and assets you supply to us.
• Our deliverables — upon receipt of full payment, ownership of the final deliverables (e.g. completed website, edited video) transfers to you, unless agreed otherwise in writing.
• Our tools & processes — any proprietary methodologies, templates, or tools we use to create deliverables remain our intellectual property.
• Portfolio rights — we reserve the right to showcase completed work in our portfolio and marketing materials unless you request otherwise in writing.

Each party agrees to keep confidential any non-public information shared by the other party in the course of the engagement and not to disclose it to third parties without prior written consent, except as required by law.

Each project includes a reasonable number of revisions as agreed in the proposal. Requests that fall outside the agreed scope may be subject to additional fees. We will inform you in advance if any change request affects the cost or timeline.

• Either party may cancel a project with written notice. Work completed up to the cancellation date will be invoiced.
• Upfront deposits are non-refundable unless we are unable to begin the agreed work within a reasonable timeframe.
• No refunds are issued for completed and delivered work that has been approved by you.
• Ad spend already deployed to Meta or other platforms is non-refundable by us.

While we strive to deliver high-quality work and effective campaigns, we make no guarantees of specific business outcomes, sales figures, follower counts, leads generated, or advertising return on investment. Digital marketing results depend on many factors outside our control, including market conditions, platform algorithms, and your product or service.

To the maximum extent permitted by applicable law, Elyrix Digital shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

Our services may involve the use of third-party platforms, including Meta (Facebook & Instagram), Google, and others. We are not responsible for changes to those platforms' policies, pricing, or availability. You acknowledge that platform policy changes may affect campaign performance or require adjustments to agreed deliverables.

You agree not to use our website to:

• Transmit any unlawful, harmful, or fraudulent content.
• Attempt to gain unauthorised access to any part of our systems.
• Scrape, copy, or reproduce content without our written permission.
• Engage in any activity that disrupts or interferes with the website's operation.

Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms. For active client engagements, material changes will be communicated by email.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of India.
